TERMS AND CONDITIONS

Delivery time: From receiving of the financial instrument, 25 Days from Congo DRC/Zambia to Dar es Salaam and minimum 1 month to destination port Any Safe World Port.

Price:  LME minus 10% USD CIF

ASWP Delivery Terms: ASWP port

Inspection: Alex Stewart, Inspection certificate quality and quantity will be issued upon each delivery at loading  port before shipment at sellers's expense; and SGS or equivalent at buyer's expenses at discharge port. 

Payment: Guarantee terms BY NonTRANSFERABLE STAND-BY LETTER OF CREDIT (MT760) /confirm/iED, IRREVOCABLE, PAYABLE 100% BY MT103/23 AT DISCHARGE PORT, SGS REINSPECTION.

Perfomance bonds: 2% will be issued by seller's financier to buyer's bank.

SHIPPING DOCUMETNS:

    •    Proforma/Commercial Invoice in oryginal, and three (3) copies, 

    •    Certificate of Origin OR other agreed documentation issued by authority of the country of origin, 

    •    Certificate of Ownership confirming the product to be free of all liens, taxes and ecumbrances, 

    •    Export License AND/OR Tax Certificate, 

    •    Certificate of Samplingand Analysis at loading port and final certification issued by Alex Stewart at final destination at the warehouse, 

    •    Full set of Master Ocean on board Bill of Lading (BL) consigned to order and blank endorsed, notify Letter of Credit (L/C) applicant and marked "Freight pre-paid",

    •    Customs clearance certificate, 

    •    any additonal document(s) required by the country of origin or from where shipped, 

    •    Three (3) Originals Packing List.

SALES AND BANKING PROCEDURES (NON NEGOTIABLE):

    •    Seller issues SOFT CORPORATE OFFER (SCO), Buyer issues Irrevocable Confirmed Purchase Order (ICPO),

    •    Seller issues SALES AND PURCHASE AGREEMENT (SPA), STAND-BY LETTER OF CREDIT DRAFT (SBLC) and Non-Circumvention, Non-Disclosure and Working Agreement/Irrevocable Master Fee Protection Agreement (NCNDA/IMFPA) to buyer; buyer reads, corrects and signs the contract, 

    •    Contract will be deposited with each bank, 

    •    Buyer's bank issue non transferable SBLC (MT760), irrevocable, confirmed to seller's financier bank payable 100% by MT 103/23 at discharge port against shipping documents and Alex Stewart certificate, 

    •    Seller's financier bank issue 2% performance bond (PB) to buyer's bank to guarantee the delivery to the buyer, 

    •    Shipment commence; seller's delivered the goods at destination port, 

    •    After inspection at discharge port by Alex Stewart or SGS, CIQ, within 48 hours, buyer pays the goods in totality by MT 103/23. Quality inspection at buyer's charge at destination port.
